Session Terms

Provider and scope

The AI Value Decision Session is provided by The Brained Inc. and delivered by Katerina Andreeva. Booking and payment questions: kate@thebrained.com.

This service is offered to businesses. The person accepting these terms confirms that they are authorized to book and pay on behalf of the organization they represent.

The engagement includes:

Business days are Monday through Friday, excluding US federal holidays, in New York time. The first business day after the session is day one; the written summary is due by the end of day two.

The session does not include production development, deployment or operation, a complete technical or security audit, an organization-wide AI strategy or a full vendor-selection process. Broader advisory work requires a separate agreement. Implementation remains with your internal team or delivery partners.

Recommendations reflect a professional assessment of the available information. They may identify further evidence needed before a final decision. The session does not guarantee a particular business, financial or technical outcome.

Introduction, booking and payment

The introductory call is optional, free and lasts 20 minutes. You may use it to discuss the situation, assess fit and clarify scope, or book the paid session directly. Booking an introductory call does not commit you to a paid service.

The paid session fee is $750 USD, payable in full through the payment link or invoice. After payment, you will receive a preparation questionnaire and a link to schedule your 90-minute session. Choose a date that allows you to return the questionnaire and agreed supporting material at least three business days before the session. Preparation begins after payment and receipt of your answers.

Please review and accept these terms before paying. Your appointment is scheduled separately after payment and is subject to availability.

Preparation

You will receive a questionnaire tailored to the agreed question. Please return it, with any agreed supporting material, at least three business days before the session so Katerina can prepare. Share the information you already have and identify anything you do not know. You are not expected to conduct a complete organizational audit or diagnose the cause yourself.

If some information is unavailable, Katerina will assess whether the session can still be useful. Where it can, the session proceeds and the written summary identifies the relevant gaps and limitations.

If essential information is missing at the three-business-day deadline, the preparation-related postponement process below applies.

Client-requested cancellation and rescheduling

Email kate@thebrained.com to cancel or request a new date. Notice is measured from the time the email is received to the scheduled start time, using elapsed hours.

If you join late, the session still ends at the scheduled time. If no participant attends and you have not cancelled or agreed a reschedule before the appointment, the appointment is forfeited without a refund. A missed appointment does not include a written summary.

Postponement because essential information is missing

If essential information is missing three business days before the first session date, Katerina will identify it in writing and offer one preparation-related postponement. This does not use your one client-requested reschedule.

We will agree on a replacement date no later than 14 calendar days after the original session date. The identified information must reach Katerina at least three business days before the replacement date. Katerina will send a reminder before that deadline if the information is still outstanding.

If the identified information is still missing at the replacement preparation deadline, the booking closes. 50% of the session fee ($375) will be refunded and the remaining $375 retained under this policy. No session or written summary is delivered for the closed booking.

This closure rule does not apply when the delay is caused by Katerina's availability or response time. If you cannot provide an item, tell Katerina so she can assess whether the session can still be useful. Additional information requested later by Katerina does not, by itself, mean you missed the original deadline. If Katerina cannot provide the session, the provider-cancellation rule below applies.

If you choose to cancel before the replacement preparation deadline, the ordinary cancellation rules and any existing late-reschedule restriction apply to the agreed session date. The 50% preparation-closure rule applies when the booking closes because essential information remains missing at that deadline.

If Katerina cancels

If Katerina cancels the engagement or cannot deliver it, you may choose a full refund or a new date. A preparation-related postponement requested under the process above is handled under that process, rather than counted as a provider cancellation.

Refunds

Refunds are returned through the original payment method. We initiate an agreed refund within five business days and confirm when it has been initiated. The time it takes to appear in your account depends on the payment provider and your bank.

A full refund means the full session fee paid; no payment-processing fee is deducted from a full refund promised under these terms.

Credit toward continued work

If you and The Brained sign a separate agreement for ongoing advisory or an interim engagement within 14 calendar days after the completed session, the full $750 session fee is credited toward the first month's fee under that agreement. The engagement may start later. Continuing is optional and requires its own agreed scope and terms.

Confidential information and the written summary

Each party will use the other party's nonpublic business information only to arrange or deliver the session and will not disclose it outside the people and service providers who need it for that purpose, except with permission or where required by law. This does not cover information already public, independently developed or lawfully received from another source. Let Katerina know before sharing especially sensitive material so appropriate arrangements can be agreed. Personal information is handled as described in the Privacy Policy. Any applicable NDA or engagement agreement also governs the handling of client material.

Before starting any recording or transcription, Katerina asks every participant for consent to use Wispr Flow Notetaker to prepare the written summary. If a participant does not consent, she takes manual notes instead. The Privacy Policy explains how the service processes session information.

You may use the written summary internally and share it with your advisors and delivery partners. The Brained retains its general methods, know-how and templates.
